Terms of Service

These Terms of Service (“Terms”) govern access to and use of EventBound (the “Service”), including the public Listings marketplace, the EventBound web application, and any related sites, features, or tools operated by EventBound (“EventBound,” “we,” “us,” or “our”). By creating an account, browsing a listing, submitting a reply, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

If you are using the Service on behalf of a company or other organization (“Organization”), you represent that you have authority to bind that Organization, and “you” refers to both you and the Organization.

2. Description of the Service

EventBound is a software platform for AV and event production companies that supports event staffing and timesheets, equipment inventory management, and equipment cross rental between companies.

3. Accounts and Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. There are two kinds of accounts:

Tenant accounts, created by an Organization (directly or via Free Trial signup, see Section 4) to post and manage Listings, with one or more individual users invited under that Organization.
Vendor / basic accounts, a lighter-weight account used to browse Listings and submit Offers without a full Organization workspace.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at the contact in Section 16 if you suspect unauthorized use.

4. Free Trial

EventBound may offer free trials or promotional access to the platform from time to time, at its sole discretion. The duration, features, and availability of any free trial will be as described at the time it is offered and may vary between users or accounts.

We reserve the right to modify, suspend, or discontinue a free trial at any time and for any reason, including before its stated end date, without liability to you. We also reserve the right to refuse, limit, or cancel a free trial for any user or account at our discretion, including where we suspect abuse, fraud, or violation of these terms.

5. Listings and Replies

When you post a Listing, you represent that the information in it, equipment description, dates, quantity, budget, and fulfillment details, is accurate and posted in good faith to source equipment for a genuine event need. When you submit a Reply, you represent that you have a good-faith ability to fulfill the terms you offer.

EventBound does not review, verify, or endorse the content of any Listing or Reply before it is posted. You are solely responsible for the content you submit and for any agreement you reach with another user as a result of a Listing or Reply.

6. Marketplace Role and No Brokerage

Any agreement reached between a Posting Tenant and a vendor, including price, delivery, equipment condition, damage responsibility, insurance, and payment, is solely between those parties. EventBound does not process rental payments, hold funds in escrow, or take title to any equipment listed or offered through the Service.

We are not responsible for the quality, safety, legality, availability, or condition of any equipment listed, or for whether a Posting Tenant or vendor actually performs on the terms they posted or offered. You should independently verify counterparties and terms before relying on any Listing or Reply.

7. Acceptable Use

You agree not to:

post a Listing or Reply that is fraudulent, misleading, or not made in good faith;
list or request equipment you know to be stolen, unsafe, or illegal to rent or operate;
use the Service to harass, defraud, or circumvent another user;
scrape, reverse-engineer, or use automated means to access the Service beyond normal browsing, except where such restriction is prohibited by applicable law;
attempt to bypass account, tenant, or Free Trial limits described in these Terms;
interfere with the Service operation or security.

We may remove any Listing, Reply, or other content, and suspend or terminate any account, that we reasonably believe violates this Section.

8. User Content

User Content means anything you submit to the Service, including Listing and Reply text, photos, and messages. You retain ownership of your User Content. By submitting it, you grant EventBound a non-exclusive, worldwide, royalty-free license to host, display, and distribute it as necessary to operate the Service, for example showing a Listing to browsing vendors on the public marketplace.

You represent that you have the rights necessary to grant this license and that your User Content does not infringe or violate the rights of any third party.

9. Fees and Payment

Free Trial accounts are provided at no charge, subject to the limits in Section 4. Paid plans, if and when offered, will be described with their own pricing and billing terms at the time of purchase or upgrade, which will supplement these Terms. Nothing in these Terms obligates EventBound to process or facilitate payment for any transaction arranged between users through a Listing or Reply.

10. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. EventBound does not warrant that the Service will be uninterrupted, error-free, or secure, or that any Listing, Reply, or user is accurate, reliable, or trustworthy.

11. Limitation of Liability

To the maximum extent permitted by law, EventBound and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service, including any transaction, dispute, or equipment issue arising between users. EventBound’s total liability for any claim arising out of the Service will not exceed the amount you paid to EventBound, if any, in the twelve months before the claim arose.

12. Indemnification

You agree to indemnify and hold EventBound harmless from any claim, loss, or expense, including reasonable legal fees, arising from your use of the Service, your User Content, your violation of these Terms, or a transaction you enter into with another user through a Listing or Reply.

13. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service, including a Free Trial, if we reasonably believe you have violated these Terms, misused the Service, or if we discontinue the Service or a feature of it. Sections that by their nature should survive termination, including Sections 6, 8, 10, 11, and 12, will survive.

14. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will provide reasonable notice, such as an in-app notice or an email to the address on your account, before the change takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the jurisdiction in which EventBound is organized, without regard to conflict-of-laws principles, unless otherwise required by applicable law. Jurisdiction and venue are to be confirmed with legal counsel prior to publication.
